TERMS OF SERVICE

Please read these Terms of Service carefully before placing an order. By clicking “Buy Single” or “Buy Bundle”, scrolling through these Terms, checking the acknowledgement box, and completing checkout, you confirm that you have read, understood, and agree to be bound by these Terms.
If you do not agree, do not purchase or use Texpandr.
1. Who we are
1.1 These Terms govern purchases from the Texpandr online store (the “Store”) and use of the Texpandr product.
1.2 In these Terms, “Texpandr”, “we”, “us”, and “our” means TEXPANDR (UEN 53530877M) of 60 Paya Lebar Road, #06-28 Paya Lebar Square, Singapore 409051, the seller operating the Texpandr Store. “You” and “your” means the person or organisation placing the order.

2. Agreement and acknowledgement
2.1 You must be at least 18 years old and able to enter a binding contract.
2.2 If you buy for a clinic, hospital, or other organisation, you confirm that you have authority to bind that organisation.
2.3 Completing the pre-checkout acknowledgement (scroll to the end of these Terms and tick the checkbox) is a condition of purchase. Completing payment is further confirmation that you accept these Terms.
3. The product
3.1 Texpandr is a physical USB thumbdrive that includes Texpandr software. The software expands typed shortcuts into phrases you have saved, to speed up documentation.
3.2 We currently sell:
(a) a single Texpandr thumbdrive; and
(b) a bundle of three Texpandr thumbdrives.
3.3 Prices shown on the Store are in Singapore dollars (SGD) and may change at any time before you complete payment. The price charged is the price displayed at checkout.
3.4 Each order is an offer to buy. We may accept or refuse an order (for example if an item is out of stock, priced in error, or we cannot ship to your address). If we refuse an order after payment, we will refund the amount paid for that order.
4. Software licence (not a sale of the software)
4.1 The USB hardware is sold to you. The Texpandr software is licensed, not sold.
4.2 We grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to use the copy of Texpandr software supplied on the thumbdrive you purchased, only:
(a) from that enrolled thumbdrive;
(b) for your own professional or personal documentation; and
(c) in accordance with these Terms and any in-product notices.
4.3 You must not:
(a) copy the software onto another computer, USB drive, or device in order to bypass the USB licence;
(b) share, rent, sell, or sublicense the software separately from the thumbdrive we supplied;
(c) reverse engineer, decompile, or circumvent licence, enrolment, or copy-protection measures, except to the extent the law expressly allows it and you cannot contract out of that right;
(d) remove copyright or proprietary notices; or
(e) use the software to break any law.
4.4 The licence ends if you breach these Terms. On termination you must stop using the software. Clauses that by nature should survive (including intellectual property, disclaimers, liability limits, and governing law) continue to apply.
5. Compatibility and your responsibility
5.1 Texpandr is currently compatible with Microsoft Windows only. macOS support is not included unless we later say so in writing.
5.2 You are responsible for checking that your computers, clinic systems, and security policies allow a USB device and this type of keyboard-expansion software.
5.3 Some applications, especially those running with Administrator rights, may not receive expansions unless Texpandr is also run with appropriate permissions. We describe known limitations in our Quick Start and FAQ materials; those materials are guidance, not a guarantee that Texpandr will work in every application.
5.4 You are solely responsible for the shortcuts and phrases you create or store. You must not store unlawful content on the device.
6. Not a medical device; clinical judgement stays with you
6.1 Texpandr is a documentation productivity tool. It is not a medical device. It does not diagnose, treat, prevent, or manage any disease or condition. It does not provide clinical advice.
6.2 You remain solely responsible for the accuracy, completeness, and clinical appropriateness of all notes, letters, prescriptions, and other records produced with or without Texpandr.
6.3 We are not liable for clinical, professional, regulatory, or patient-care outcomes connected with your use of the product, including errors in phrases you configured or expansions inserted into another application.
7. Privacy and data on the device
7.1 Texpandr is designed to work offline. It does not require cloud sync and is not intended to send your phrase file to our servers.
7.2 Only the shortcuts and phrases you enter are stored in your phrases file on the thumbdrive (or as otherwise described in our product documentation). We do not extract unrelated data from your computer.
7.3 You are responsible for keeping the thumbdrive secure, for any confidential or personal data you choose to save in phrases, and for complying with your organisation’s data-protection and record-keeping rules.
7.4 How we handle Store order data (name, email, delivery address, payment confirmation) is described in our Privacy Policy. Payment is processed by Shopify and the payment provider you choose at checkout. We do not receive your full card number.
8. Orders, payment, and title
8.1 Payment is due at checkout through Shopify’s checkout and the methods we enable (for example cards via Shopify Payments).
8.2 You confirm that payment details you provide are accurate and that you are authorised to use that payment method.
8.3 Title to the physical thumbdrive passes to you when we have received payment in full and have delivered the item. The software remains licensed under clause 4.
8.4 Risk of loss or damage to the physical item passes to you on delivery to the address you gave, or on collection if we agree collection.
9. Shipping (Singapore only)
9.1 At launch we ship only to addresses in Singapore. We may refuse or cancel orders with non-Singapore delivery addresses.
9.2 If you are outside Singapore, you may register interest for future overseas shipping. Registering interest is not an order and does not reserve stock.
9.3 Delivery timeframes on the Store are estimates, not guarantees. Delays can occur because of stock, payment checks, or the courier.
9.4 You must provide a complete, accurate Singapore delivery address and a reachable contact. Extra courier fees caused by a wrong address, failed delivery, or uncollected parcel are your responsibility.
9.5 Shipping charges, if any, are shown at checkout.
10. Inspection, defects, and Singapore consumer rights
10.1 Please inspect the thumbdrive promptly after delivery. If the package arrived damaged, or the device or software does not work as reasonably expected, email texpandr.support@gmail.com as soon as possible, with your order number and a short description (and photos where useful).
10.2 If goods are defective or not of acceptable quality, you have rights under Singapore law, including the Consumer Protection (Fair Trading) Act and related lemon-law rights. Those statutory rights are not excluded by these Terms.
10.3 For a genuine defect that existed at the time of delivery, we will repair, replace, or refund as required by law and as appropriate to the problem. Do not return items until we ask you to and give a return address or instructions.
10.4 A defect does not include: (a) issues caused by misuse, accident, liquid damage, unauthorised modification, or attempts to bypass the USB licence; (b) incompatibility with a non-Windows system; (c) failure in a particular application where our documentation already describes that limitation; or (d) dissatisfaction with phrases you wrote yourself.
11. Change of mind, returns, and refunds
11.1 If we have not yet dispatched your order, you may cancel by emailing texpandr.support@gmail.com. If payment has been taken, we will refund the purchase price by the original payment method within a reasonable time.
11.2 After delivery, you may return an unused, unopened, and unenrolled thumbdrive for a change-of-mind refund if you email texpandr.support@gmail.com within 7 days of delivery, include your order number, and receive our return instructions before sending the item back.
11.3 Change-of-mind returns must arrive in original condition and packaging, with all accessories, and with the software unused (the USB licence must not have been enrolled or used on a workstation). Opened, used, enrolled, damaged, or incomplete items are not eligible for change-of-mind return.
11.4 For an accepted change-of-mind return we refund the product price by the original payment method after we inspect the returned item. Original shipping charges are not refunded on change-of-mind returns. Return postage is paid by you unless we agree otherwise.
11.5 Defective goods are handled under clause 10, not this change-of-mind clause. Statutory rights under Singapore law are not affected.
11.6 Where a refund is due, we refund using the original payment method unless we agree another method. We do not refund bank or payment-provider charges that are outside our control.
12. Acceptable use of the Store
12.1 You must not misuse the Store (including attempting unauthorised access, interfering with checkout, or placing fraudulent orders).
12.2 All content on the Store (text, layout, logos, product images, and documentation) is owned by us or our licensors. You may not copy it for commercial use without our written permission.
13. Intellectual property
13.1 Texpandr, the Store, the software, documentation, and branding are our intellectual property or that of our licensors.
13.2 Purchase of a thumbdrive does not transfer any copyright, trademark, or other IP in the software or brand, other than the limited licence in clause 4.
14. Disclaimer (software and documentation)
14.1 To the fullest extent permitted by Singapore law, the software and documentation are provided “as is” and “as available”. We do not warrant that the software will be error-free, uninterrupted, or compatible with every Windows application, clinic system, or security configuration.
14.2 We do not warrant that use of Texpandr will achieve any particular time saving, clinical outcome, or professional result.
14.3 Nothing in these Terms limits any non-excludable consumer guarantee that applies to you under Singapore law.
15. Limitation of liability
15.1 Nothing in these Terms limits or excludes liability that cannot be limited or excluded under Singapore law, including liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
15.2 Subject to clause 15.1, we are not liable for:
(a) loss of profit, revenue, data, goodwill, or business opportunity;
(b) indirect, incidental, special, or consequential loss;
(c) clinical, professional, or regulatory consequences of documentation produced using Texpandr;
(d) loss arising from your phrases, your clinic systems, or third-party software; or
(e) delay or failure caused by events beyond our reasonable control (including courier disruption, illness, or utility failure).
15.3 Subject to clauses 15.1 and 15.2, our total liability arising out of or in connection with any order is limited to the amount you paid us for that order.
16. Changes to the product or these Terms
16.1 We may update prices, product descriptions, shipping availability, and these Terms from time to time. The version that applies to your purchase is the version you acknowledged immediately before that checkout.
16.2 Material updates will be posted on the Store. Continued purchases after an update constitute acceptance of the updated Terms for those new purchases.
17. General
17.1 If any part of these Terms is held invalid, the rest remains in force.
17.2 If we do not enforce a right, that is not a waiver of that right.
17.3 You may not assign your licence without our written consent. We may assign our rights (for example to a successor operating the Store).
17.4 These Terms, together with the Privacy Policy and the order confirmation, are the entire agreement for Store purchases and use of the supplied software, and replace prior statements about the same subject. Product pages and FAQs are descriptive and do not override these Terms.
18. Governing law
18.1 These Terms are governed by the laws of the Republic of Singapore.
18.2 The courts of Singapore have exclusive jurisdiction, without limiting any non-excludable right you have to bring a claim in another forum that Singapore law preserves.
